SHOWROOM MARKETS — LIVE DROP TERMS & CONDITIONS

1. PROGRAM OVERVIEW
The Showroom Markets Live Drop Program ("Program") allows approved suppliers and external brands ("Participants") to host live selling events ("Live Drops") on the Showroom Markets platform at showroommarkets.com. All Live Drops are subject to these Terms & Conditions.

2. APPLICATION & APPROVAL
All applications are subject to review and approval by Showroom Markets at its sole discretion. Submission of an application does not guarantee participation. Showroom Markets will confirm approved applications in writing via email. All featured products must be submitted for review a minimum of 14 days before the scheduled Live Drop date. Product listings are subject to Showroom Markets approval before the Live Drop is confirmed.

3. PARTICIPANT TYPES

3a. Collective Suppliers
Participants already listed as Shopify Collective suppliers on Showroom Markets operate under their existing Collective supplier agreement. Sales are processed through the Showroom Markets checkout and commissions apply per the Collective structure.

3b. External Brands & Vendors
External brands not yet listed on Showroom Markets must agree to the following additional conditions: All featured products must be listed on Showroom Markets for a minimum of 30 days following the Live Drop. Showroom Markets retains a 20% commission on all sales generated during the Live Drop and the subsequent 30-day listing period. Products remain subject to Showroom Markets content and quality standards at all times.

4. SALES & CHECKOUT
All sales generated during a Live Drop are processed exclusively through the Showroom Markets checkout. Participants may not direct viewers to any external website, payment link, or checkout during the Live Drop. Showroom Markets is the merchant of record for all transactions.

5. PAYMENT TO PARTICIPANTS
External brand participants will receive payment for their share of sales (after the 20% commission deduction) within 3 business days of funds clearing bank processing. Payments are made exclusively via PayPal to the email address provided at the time of application. Participants are responsible for ensuring their PayPal account is active and able to receive funds. Showroom Markets is not responsible for delays caused by PayPal processing, incorrect PayPal details, or bank holds. Any payment disputes must be raised in writing within 7 days of the payment date.

6. CONTENT STANDARDS
Participants agree that all Live Drop content must: Be appropriate for a general audience. Contain no profanity, hate speech, offensive language, or inappropriate imagery. Accurately represent the products being sold. Not include misleading claims, false advertising, or unauthorized third-party branding. Comply with all applicable Canadian federal and provincial laws.

7. SHOWROOM MARKETS RIGHTS
Showroom Markets reserves the right to: Terminate any Live Drop stream at any time and without notice if content standards are not met. Remove any product listing that does not meet platform standards. Reschedule or cancel a Live Drop due to technical issues, platform maintenance, or other circumstances beyond its control. Promote the Live Drop and Participant's products across its marketing channels including social media, email, and the storefront without additional compensation.

8. PARTICIPANT RESPONSIBILITIES
Participants are responsible for: Ensuring a stable internet connection and appropriate streaming setup for the duration of the Live Drop. Accurate product descriptions, pricing, and inventory availability. Compliance with all applicable laws including consumer protection, advertising standards, and tax obligations. Obtaining all necessary rights and permissions for any content shown during the Live Drop including music, imagery, and third-party branding.

9. LIMITATION OF LIABILITY
Showroom Markets is not liable for: Technical failures, stream interruptions, or platform outages during a Live Drop. Lost sales due to technical issues beyond Showroom Markets' control. Any indirect, incidental, or consequential damages arising from participation in the Program.

10. TERMINATION
Showroom Markets may suspend or permanently remove a Participant from the Program at any time for violation of these Terms, content standard breaches, or conduct deemed harmful to the Showroom Markets brand or community.

11. GOVERNING LAW
These Terms & Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
